Membership Agreement   /   Terms and Conditions

1: Barter For Less charges a monthly fee to belong to its members-only exchange. Fees are billed in advance of each month, and are due on on the 1st of each month. Any account is considered late if unpaid by the 10th day of the month. If the amount due is not paid by the 10th the account will be frozen and any barter funds available in the account will be transferred to a hold account until the balance is paid or the account is closed. If the account is not paid in full by the end of the second month past due, or 60-days, whichever comes sooner, the account will be closed and cannot be reopened. Any funds that are on hold will be transferred to the BFL Debt Reserve Account. If a credit card charge is reversed or disputed all purchases and sales during that disputed period are subject to reversal. Any check that is returned unpaid is subject to a Thirty Five dollar ($35.00) returned item fee and account suspension or closure, based on the above. Members may pay fees by Visa, Mastercard, Amex, or Check.

2. The Internal Revenue Service requires that all accounts be reported if they have more than $600 a year in gross sales. If your account reaches this amount we will require your federal tax ID or a Social Security Number. If you refuse to provide this information your account will be closed and transactions reversed that caused you to go beyond the $600 level.

3. All trades are 100% barter unless you meet the following criteria:

a) Local, State, and Federal sales tax may be charged in CASH.
b) Mechanics may charge for parts in CASH at regular retail rates.
c) Contractors may charge CASH for materials at regular retail value.
d) Restaurants may require that wait staff and bartenders be tipped in CASH.
e) A limo service may charge gratuity in CASH
f) Any amount exceeding $5000.00 may be charged in CASH

4  If you borrow barter dollars, or go negative in your account, Barter For Less will charge you an interest charge of
one and one-half percent (1.5%) per month in cash. This charge will be calculated once a month, on the 1st. As an easy example if your balance is negative $1000 barter dollars on the 1st of the month we will bill you $15.00 in cash. This is in addition to the monthly fee we charge for membership. If your account remains negative for a period of at least twelve (12) months Barter For Less reserves the right to close your account and bill you in cash for this negative balance. It is in fairness that you must sell to other members in the exchange to cover your negative balance.

5.  If you are a restaurant operator Barter For Less will issue gift certificates on your bahalf, based on your decisions of how much you wish to release each month. Once these gift certificates are sold you must honor them for at least one year from the date of issue, even if you leave Barter For Less. You agree to be held liable to any and all members should you not accept these gift certificates, and must repay them in cash if unacceptable as a form of payment at your establishment.

 6.  As a membership exchange Barter For Less will provide to you a monthly statement by email only. It is your sole responsibility to make sure that Barter For Less has your complete and accurate information, including address, telephone number/s, email, and other contact information. Barter For Less does keep a history of your account but is not required to do this. It is your sole responsibility to make sure that all transactions posted to your account each month are accurate. Barter For Less reserves the right to reverse or change any transaction it deems appropriate, or any item that needs to be reversed based on its sole discretion in the situation. In the event a member disputes any barter transaction in which you as Member were the seller Barter For Less will act as the sole and final authority as to the outcome of any such dispute. All members agree to be bound by our final judgement, whether in your favor or not, on any such dispute (charge back).

7. Member acknowledges, understands and agrees that the operation of Barter For Less's business bears an inherent risk to Barter For Less because Barter For Less is unable to control all aspects of the Barter Services at all times. Accordingly, Member agrees to and hereby does defend, indemnify and hold harmless Barter For Less for, from and against any and all suits, actions, claims, judgments, debts, obligations or rights of action of any kind or nature (hereinafter collectively referred to as the "Claims"), and all costs, including attorney's fees, incurred by Barter For Less in connection therewith, arising out of or relating to the (a) Barter Services; (b) any acts, omissions, statements, misstatements, malfeasance, and/or representations; (c) the distribution of any information which is defamatory, slanderous, libelous or disparaging; and/or (d) the breach or violation of any third party proprietary rights; of or by Member, its owners, employees, agents, representatives, contractors, servants, licensees, officers and directors relating thereto.

8.  To the extent possible, Barter For Less will make every effort to provide accurate information through its proprietary services. Member acknowledges that information available through non-Barter For Less content may not be accurate. In any event, as to both Barter For Less and Non- Barter For Less Content, Barter For Less makes no warranty, express or implied, regarding the quality, accuracy, or validity of data and/or information available, that access to the service will be available at any particular time, that operation of the service will be uninterrupted or error free, or that any particular result or information will be obtained. Member accounts are offered on an "as is" basis without warranties of any kind, other than warranties which are incapable of exclusion, waiver, or restriction under the law applicable hereto.

9.  Barter For Less is only responsible for commitments and representations made in writing by a duly authorized officer of Barter For Less. Brokers, associates, agents, or employees of Barter For Less are not authorized to bind Barter For Less to any obligation or representation whatsoever without such written authorization, signed by an officer of Barter For Less.

10  MEMBER'S USE OF INFORMATION, PROGRAMS AND/OR OTHER MATERIALS, PURCHASE OF PRODUCTS AND/OR SERVICES OBTAINED FROM OR THROUGH THE BARTER SERVICES AND PARTICIPATION IN THE BARTER SERVICES IS AT MEMBER'S SOLE RISK. USTEB SHALL NOT BE LIABLE FOR ANY DAMAGES OR LOSSES TO MEMBER. USTEB DISCLAIMS ALL EXPRESS AND IMPLIED WARRANTIES, INCLUDING THE WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

11.  Barter For Less shall not be liable for any damage that user may suffer arising out of use, or inability to use, the Barter Services, other services or products provided hereunder. Barter For Less shall not be liable for unauthorized access by third parties to Member facilities or premise equipment or for unauthorized access to or alteration, theft, loss or destruction of Member data files, programs, procedures or information through accident, fraudulent means or devices, or any other method.

12.   IN NO EVENT WILL USTEB, ITS AGENTS, OR AFFILIATES BE LIABLE FOR ANY OTHER DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA, OR OTHER SPECIAL, INCIDENTAL, INDIRECT OR CONSEQUENTIAL DAMAGES, ARISING OUT OF OR IN CONNECTION WITH THE PURCHASE, USE OR PERFORMANCE OF THE SERVICE.

13.  If a dispute arises out of or relates to this agreement, or the breach thereof, and if the dispute cannot be settled through negotiation, the parties agree first to try in good faith to settle the dispute by mediation administered by the American Arbitration Association under its Commercial Mediation Procedures before resorting to arbitration, litigation, or some other dispute resolution procedure. If they do not reach such solution within a period of 60 days, then, upon notice by either party to the other, all disputes, claims, questions, or differences shall be finally settled by arbitration administered by the American Arbitration Association in accordance with the provisions of its Commercial Arbitration Rules.

14.  Barter For Less reserves the right to remove any member from the exchange for any reason. Barter For Less reserves the right to refuse any application for any reason. This is a private, for members only club, and as such requires the approval of the parties operating it. Barter For Less barter dollars have no cash value and as such may be seized by the exchange without cash reimbursement if the exchange removes the member. These terms and conditions / agreement may be changed at any time without advance notice.
